INCORPORATION OF PRIVATE LIMITED COMPANY IN INDIA.


With the introduction of Companies Act 2013, procedure for incorporating a private limited company has undergone a sea change. This article will provide the reader information regarding the attachments that are to be filed along with INC -7 and DIR - 12, if the company is going to be incorporated in the state of Kerala.

After fulfilling the first stages like getting the DIN (Director Identification Number), DSC (Digital Signature Certificate), an application for reservation of name has to be filed in Form INC -1.  The name is to be approved by the RoC and then the incorporation documents are required to be filed.


INCORPORATION DOCUMENTS FOR A PRIVATE LIMITED COMPANY IN KERALA

Two forms are to be filed if registered office of the company is not finalised. They are INC - 7 (If the company is not an OPC) and DIR - 12. If the Registered office is confirmed at the time of incorporation, then INC-22 is also to be filed simultaneously.

The attachments required with INC -7 are as follows:
  1. MOA and AOA duly drafterd and signed and witnessed by a professional.
  2. Form INC - 8 (Declaration by a professional that the all the requirements under companies Act 2013 have been duly complied in a Rs.25/- stamp paper.
  3. Affidavit by the promoters in Form no. INC - 9 which is to be on Rs.25 Stamp Paper and duly notarized.
  4. Form INC - 10 containing the verification of signature of promoters which is to be attested by a notary or banker.
  5. Address proof of the promoters ( Only bank statement, telephone bill copy or mobile copy will only be accepted)
  6. Pan Card copy of the promoters.
The attachments with DIR -12 are as follows:

1. DIR -2 duly filled and signed.
